1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the agentic platform services, including any associated websites, APIs, and applications (collectively, the "Services") provided by IDAMVISION AI Private Limited ("Company", "we", "our", or "us"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Definitions

"Agentic Platform" refers to our autonomous AI-based system designed to perform tasks and actions on behalf of users.

"User" or "you" refers to any individual or entity that accesses or uses the Services.

"Content" refers to any text, data, information, images, audio, video, or other materials submitted, posted, or displayed on or through the Services.

"Output" refers to the content, responses, or actions generated by our agentic platform in response to user instructions or inputs.

3. Services Description

The Services provide access to an agentic platform capable of performing various automated tasks as specified in our documentation. The Services may include but are not limited to:

• Processing user instructions and carrying out requested tasks
• Accessing and analyzing data as authorized by users
• Generating content, responses, or taking actions based on user inputs
• Integrating with third-party services as authorized by users

4. Account Registration

4.1. To access certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process.

4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

5. User Responsibilities and Conduct

5.1. You agree to use the Services in compliance with all applicable laws and regulations.

5.2. You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction (including copyright laws)
• Attempt to gain unauthorized access to the Services or its related systems
• Interfere with or disrupt the Services or servers
• Circumvent, disable, or otherwise interfere with security-related features
• Use the Services in any way that could damage, disable, overburden, or impair it
• Upload or transmit viruses or malicious code
• Attempt to reverse engineer any portion of the Services
• Use the Services to generate content that is harmful, abusive, racially or ethnically offensive, or otherwise inappropriate

5.3. You are responsible for all Content you submit to the Services and all instructions you provide to the agentic platform.

6. Intellectual Property Rights

6.1. Our Intellectual Property. The Services, including its original content, features, and functionality, are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2. Your Content. You retain your rights to any Content you submit, post, or display on or through the Services. By submitting Content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such Content for the purpose of providing and improving the Services.

6.3. Output Ownership. The ownership and rights to Output generated by the Services will be as follows:

• Output generated exclusively for you based on your instructions: You receive a license to use such Output for your permitted business purposes.
• Output incorporating our pre-existing materials: We retain ownership of our pre-existing materials, and you receive a license to use the Output for your permitted business purposes.

7. Data Privacy

7.1. Our collection and use of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2. You acknowledge that the Services may involve the processing, storage, and analysis of your Content and data to provide the requested functionalities.

8. Third-Party Services and Content

8.1. The Services may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

8.2. When the agentic platform interacts with third-party services at your direction, those interactions are subject to the terms and privacy policies of those third parties.

9. Disclaimers and Limitations of Liability

9.1. Services Provided "As Is". The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

9.2. No Warranty for Outputs. We do not warrant that the Output generated by the Services will be accurate, complete, reliable, current, or error-free. You are responsible for evaluating and determining the appropriateness of using or redistributing Output generated by the Services.

9.3. Limitation of Liability. To the maximum extent permitted by applicable law, in no event shall the Company, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content or Output obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

9.4. Cap on Liability. In no event shall our total liability to you for all claims related to the Services exceed the amount paid by you to us for the Services during the twelve (12) months preceding the event giving rise to the liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your Content or instructions caused damage to a third party
• Any actions taken by the agentic platform at your direction

11. Subscription and Payments

11.1. Certain aspects of the Services may be provided for a fee. You agree to pay all fees associated with the Services as specified at the time of purchase.

11.2. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

11.3. Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy.

11.4. We reserve the right to change our prices at any time. Any price changes will be communicated to you in advance.

12. Termination

12.1. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

12.2. Upon termination, your right to use the Services will immediately cease.

12.3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Modifications to the Services and Terms

13.1. We reserve the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice.

13.2. We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website or through other communications.

13.3. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

14. Governing Law and Dispute Resolution

14.1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.2. Any dispute arising from or relating to the subject matter of these Terms shall be resolved through binding arbitration in India in accordance with the rules of the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted in Hyderabad, Telangana and shall be in the English language. The decision of the arbitrator(s) shall be final and binding on the parties.

15. Export Restrictions

The Services may be subject to export restrictions imposed by U.S. and other countries' export laws and may not be downloaded or used in certain countries. You agree to comply with all applicable export laws and restrictions.

16. Miscellaneous

16.1. Entire Agreement. These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements and understandings.

16.2. Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.3. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

16.4. Assignment. You may not assign these Terms without our prior written consent, but we may assign or transfer these Terms without restriction.

16.5. Force Majeure. We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
